Position Overview
Linden Capital Partners is a Chicago-based private equity firm focused on healthcare. We are seeking a Principal, Capital Markets to lead the Firm’s debt financing activity across new investments and the existing portfolio. This is a senior, highly visible role: as the Firm’s most senior capital markets professional, the Principal will be the primary point of contact with banks, direct lenders, and credit funds, and a genuine thought partner to the investment team at Investment Committee.
Key Responsibilities
1. Lender Relationships & Market Access
- Build and maintain deep, trusted relationships with banks, direct lenders, credit funds, and other capital providers relevant to Linden’s portfolio.
- Develop access to financing sources, including club relationships and bilateral lenders, that creates competitive advantage for the Firm.
- Represent Linden credibly in the market so that lenders view the Firm as a preferred counterparty and compete for its business; create competitive tension to achieve differentiated terms.
- Maintain current knowledge of market terms, structures, pricing, and lender appetite across the credit spectrum.
2. Financing Execution
- Lead all aspects of debt financing, from initial structuring through close.
- Develop optimal capital structures in partnership with deal teams, balancing risk, flexibility, and cost; identify creative structures (unitranche, second lien, holdco PIK, preferred equity) where appropriate.
- Drive negotiation of credit agreements, intercreditor arrangements, and related documentation with speed and precision, achieving best terms without damaging relationships.
- Ensure financing timelines never impede deal execution.
3. Portfolio Company Debt Management
- Maintain active command of the debt profile across the portfolio, including maturities, covenant compliance, amendment needs, and refinancing opportunities.
- Proactively identify situations requiring action and drive solutions ahead of problems; lead amendment and waiver negotiations with lenders through stress situations.
- Optimize the portfolio’s cost of capital over the hold period through opportunistic refinancings and dividend recapitalizations, with disciplined judgment on timing and sizing.
- Serve as a strategic advisor to portfolio company CFOs on capital structure decisions.
4. Internal Collaboration & Investment Committee
- Earn the trust and respect of an analytical, highly experienced investment team; be trusted, not just tolerated.
- Contribute to Investment Committee on all financing-related matters, including structure, terms, lender dynamics, and market read, adding insight rather than just information.
- Translate complex debt considerations into clear, accessible frameworks that help the team underwrite investments and manage risk.
- Engage deal teams early and add value before being asked.
5. Internal Operations & Team
- Build and maintain efficient, reliable processes for financing execution across new deals and the portfolio, so deal teams have what they need, when they need it, without unnecessary friction.
- Participate in fundraising and LP-facing discussions where relevant to portfolio performance or strategy, and represent the Firm’s capital markets capabilities as a competitive advantage.
- Operate comfortably across both strategic and executional tasks.
Qualifications & Experience
- Substantial experience in leveraged finance, capital markets, or credit, gained at a private equity firm, bank, direct lender, or credit fund.
- Established, current relationships across the lending community, including banks, direct lenders, and credit funds.
- Demonstrated experience leading financings end to end and negotiating credit agreements, covenants, baskets, and intercreditor arrangements; knows what is market and what is not.
- Experience across the capital structure, including unitranche, second lien, holdco PIK, and preferred equity.
- Experience advising on amendments, waivers, refinancings, and dividend recapitalizations; healthcare experience is a plus.
- Strong analytical and communication skills, with the ability to explain debt considerations clearly to non-specialists.
- Undergraduate degree required; MBA or other advanced degree preferred.
Fit with Linden
- Owner. Ownership mentality: proactive, accountable, resourceful, and results-oriented.
- Humble. Confidence without too much ego; earns respect through judgment rather than credential signaling.
- Emotionally intelligent. Reads situational dynamics well and knows when to push and when to defer; adjusts to Firm, team, and individual dynamics.
- Open to feedback. Introspective and open to giving and receiving direct feedback, with a continuous improvement mindset.
- Collaborative. Team-first contributor who is seen as a resource and collaborator, never a bottleneck; builds strong relationships with lenders, CFOs, and colleagues.
- Trustworthy. High integrity with lenders, portfolio companies, and internal colleagues.
