Corporate Paralegal | Washington, DC (Hybrid) | AmLaw 100 Firm
A leading international, AmLaw 100 law firm is seeking a Corporate Paralegal to join its Washington, DC office. This is an excellent opportunity for a junior-to-mid-level corporate paralegal looking to gain hands-on experience supporting transactions across private companies, capital markets, and M&A matters. The role offers direct involvement in complex corporate transactions while working alongside a highly collaborative team in a fast-paced law firm environment.
Responsibilities
- Assist with the formation, maintenance, and dissolution of corporate entities and prepare related organizational documents.
- Coordinate transaction closings and prepare closing-related documentation.
- Draft and file corporate and securities filings.
- Organize corporate records and assist with due diligence reviews.
- Prepare stock certificates and maintain capitalization tables and equity records.
- Research Blue Sky requirements and prepare related filings.
- Assemble legal opinions and supporting documentation.
- Support attorneys on private company, capital markets, and merger & acquisition transactions.
- Assist with training and mentoring junior support staff as needed.
- Handle additional project-based assignments in support of the corporate practice.
Qualifications
- Bachelor's degree required.
- Approximately 3+ years of corporate transactional paralegal experience.
- Experience supporting private company, capital markets, and/or M&A transactions.
- Strong organizational skills and exceptional attention to detail.
- Ability to manage multiple deadlines in a fast-paced environment.
- Excellent written and verbal communication skills.
- Advanced proficiency with Microsoft Office, including Excel.
- Prior law firm experience preferred.
- Familiarity with equity management platforms such as Carta, Shareworks, or similar systems is a plus.
